Term and Termination

Any suit to enforce these Terms shall be brought exclusively in the state or federal courts sitting in Travis County, Texas and you hereby consent to the jurisdiction of such courts and waive any venue objection. These Website Terms may not be modified, supplemented, qualified, or interpreted by any trade usage or prior course of dealing not made a part of these Terms. “L7” and all associated logos displayed within the Website are our trademarks (unless otherwise noted). The invalidity or unenforceability of any provision of these Website Terms shall not affect the validity of these Website Terms as a whole and any such provision should be enforced by authorities, and reconstructed if need be, to apply to the maximum extent allowable under applicable law. The failure by either party to enforce at any time any of the provisions of these Website Terms, to exercise any election or option provided herein, or to require at any time the performance of the other of any of the provisions herein will not in any way be construed as a waiver of such provisions. Reasonable attorneys’ fees and costs will be awarded to the prevailing party in the event of litigation involving the enforcement or interpretation of these Website Terms. Acceptable Use Policy for Hosted Services
This Acceptable Use Policy (“AUP”) sets out the terms and conditions under which authorized users may submit Customer Data into hosted environments. This AUP is legally binding on all users of hosted services purchased through L7 (“Hosted Services”). We provide Hosted Services pursuant to separate hosting terms and conditions and this AUP applies in addition to any such terms and conditions.
Prohibited Uses
You may use the Hosted Services only for lawful purposes, in accordance with the terms of this AUP and in accordance with the applicable agreement under which governs your access to and use of the Hosted Services. You may not use the Hosted Services:
- • in any way that breaches or promotes the breach of any applicable local, national, or international law or regulation;
• in any way that is unlawful, fraudulent, or misleading;
• to sell or advertise the sale or purchase of any goods or services;
• for the purpose of harming or attempting to harm minors in any way;
• in any way that violates third-party rights;
• to knowingly or recklessly upload, share, or transmit any data or material that contains viruses, spyware, adware, Trojan horses, worms, corrupt files, or other similar computer code designed to adversely affect the operation of the Hosting Services, L7 software or products or any computer software, hardware or networks;
• in any way that seeks to circumvent, disable, or otherwise compromise the security of the Hosted Services, any user account or any password; or
• to upload, send, or distribute unsolicited messaging, including SMS, emails or comments.
Complying with this Policy
L7 is under no obligation to monitor, review, filter, or remove any Customer Data from the Hosted Services. L7 reserves the right, in its sole discretion, to determine whether or not you have abided by the spirit and principles of this AUP and will take whatever action it deems appropriate under the circumstances, including but not limited to:
- • immediate suspension of your right to upload Customer Data to the Hosted Services;
• immediate removal of any Customer Data uploaded by you to the Hosted Services;
• taking legal action against you or the entity you represent; or
• disclosure of relevant information to law enforcement authorities.
